Terms of Service

1. The Service

ReferralReview is an AI-assisted document review tool designed to help home health agency staff review referral packets.

The Service may:

• Organize and analyze redacted referral packet content.
• Identify potentially missing, unclear, conflicting, or available information.
• Locate supporting evidence within submitted documents.
• Generate citations and summaries.
• Allow users to ask questions about processed packet content.

ReferralReview is a decision-support tool. It does not make referral acceptance or rejection decisions on behalf of users.

2. No Medical, Legal, or Compliance Advice

ReferralReview provides automated document analysis only.

The Service does not provide:

• Medical advice.
• Legal advice.
• Billing or reimbursement advice.
• Medicare eligibility determinations.
• Compliance certification.
• Clinical decision-making.
• Final determinations about whether a patient qualifies for home health services.

AI-generated findings may be incomplete, incorrect, or based on incorrectly interpreted document content.

You are responsible for reviewing the underlying documents, citations, and findings before relying on them for operational, clinical, reimbursement, or compliance purposes.

3. Protected Health Information and Sensitive Data

ReferralReview is designed so that the original referral packet remains in your browser while sensitive information is detected and redacted.

The original packet is not intended to be uploaded to or stored on our servers.

Before analysis, you are given an opportunity to review the redacted version. Only the version you approve for processing is transmitted to our backend and third-party processing services.

Automated redaction may not identify every instance of sensitive information.

You are responsible for reviewing the redacted content and must not intentionally submit Protected Health Information (“PHI”) or other information that should not be transmitted.

ReferralReview is not offered as a HIPAA-compliant service, and we do not enter into Business Associate Agreements (“BAAs”) for the Service unless explicitly agreed otherwise in writing.

Do not use ReferralReview in a manner that requires the Service to receive, maintain, or process PHI.

4. Your Responsibilities

You agree to:

• Use ReferralReview only for lawful purposes.
• Have appropriate rights or authorization to use documents submitted to the Service.
• Review redacted documents before approving them for analysis.
• Verify important findings against the source documents.
• Maintain appropriate safeguards for information under your control.
• Not attempt to bypass security, privacy, or access restrictions.
• Not interfere with or disrupt the Service.

You remain responsible for decisions made using information produced by ReferralReview.

5. AI-Generated Results

ReferralReview uses artificial intelligence and automated processing.

AI systems can make mistakes.

We do not guarantee that:

• Every relevant document or fact will be identified.
• Every missing item will be detected.
• Every citation will reflect the interpretation you would make.
• AI-generated answers will always be complete or correct.
• The Service will identify every inconsistency or documentation issue.
• Results will satisfy Medicare, payer, regulatory, accreditation, or other requirements.

Users should treat ReferralReview results as assistance for human review rather than authoritative determinations.

6. Third-Party Services

ReferralReview relies on third-party technology providers that may process redacted information necessary to provide the Service.

These may include:

• OpenAI for AI analysis and embeddings.
• Google Cloud services, including Sensitive Data Protection and document-processing services.
• Pinecone for vector search and retrieval.
• Supabase for application infrastructure, authentication, databases, or storage.
• Hosting, analytics, authentication, and other infrastructure providers.

Your use of ReferralReview may therefore involve processing by these providers subject to their applicable terms and policies.

7. Data Retention and Deletion

The original referral packet is not intended to be stored by ReferralReview outside your browser.

Processed redacted packet data may be retained for up to 7 days after analysis in systems controlled by ReferralReview.

You may delete a processed packet before that period expires.

Deleting a packet is intended to remove associated active data, including stored redacted packet information, analysis results, and associated searchable/vector data under our control.

Some limited information may remain temporarily in backups, logs, or third-party systems according to technical, security, or provider retention requirements.

8. Accounts and Access

Certain features may require an account.

You are responsible for:

• Maintaining the security of your account.
• Using accurate account information.
• Preventing unauthorized use of your account.
• Not sharing access credentials inappropriately.

We may suspend or terminate access if we reasonably believe an account is being misused, creates a security risk, or violates these Terms.

9. Pilot and Beta Service

ReferralReview may be offered as a free pilot, beta, evaluation, or early-access service.

During these stages:

• Features may change.
• Functionality may be added or removed.
• Data structures and workflows may change.
• The Service may experience errors or interruptions.
• We may impose usage limits.
• We may discontinue the pilot or Service.

Participation in a free pilot does not guarantee continued free access or future availability of any particular feature.

If paid plans are introduced, their pricing and applicable terms will be presented separately before you purchase them.

10. Feedback

If you provide feedback, suggestions, ideas, bug reports, or recommendations about ReferralReview, you permit us to use that feedback to develop and improve the Service without compensation or obligation to you.

You retain ownership of any underlying information or materials that you own.

11. Intellectual Property

ReferralReview, including its software, interface, branding, design, workflows, and related materials, is owned by or licensed to ReferralReview and is protected by applicable intellectual property laws.

These Terms do not give you ownership of the Service.

You may not copy, resell, reverse engineer, distribute, or commercially exploit the Service except where permitted by law or expressly authorized by us.

You retain whatever ownership rights you have in information and documents you submit.

12. Acceptable Use

You may not use ReferralReview to:

• Violate applicable law.
• Access systems or information without authorization.
• Introduce malicious software.
• Attempt to compromise the Service or another user's account.
• Circumvent usage limits or security controls.
• Use automated methods to overload or disrupt the Service.
• Submit content you do not have the right to process.
• Intentionally submit PHI where use of the Service would require HIPAA-compliant processing.

13. Availability and Changes

We may modify, update, suspend, or discontinue any part of ReferralReview at any time.

We do not guarantee uninterrupted, error-free, or continuously available access.

We may also update these Terms as the Service evolves.

Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms.

14. Disclaimer of Warranties

To the maximum extent permitted by law, ReferralReview is provided “as is” and “as available.”

We make no warranties, express or implied, regarding the Service, including warranties of accuracy, reliability, fitness for a particular purpose, merchantability, non-infringement, or regulatory compliance.

15. Limitation of Liability

To the maximum extent permitted by applicable law, ReferralReview will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the Service.

This includes losses related to:

• Referral decisions.
• Missed or incorrect documentation findings.
• Reimbursement or payment.
• Regulatory or compliance actions.
• Business interruption.
• Lost revenue or opportunities.
• Loss or corruption of data.
• Reliance on AI-generated results.

To the extent liability cannot legally be excluded, our total liability arising from the Service will not exceed the amount you paid to use ReferralReview during the three months preceding the event giving rise to the claim, or $100 if you used the Service for free, whichever is greater.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold ReferralReview harmless from claims, damages, liabilities, and reasonable expenses resulting from:

• Your unlawful use of the Service.
• Your violation of these Terms.
• Documents or information you did not have authority to process.
• Your intentional submission of PHI contrary to these Terms.
• Decisions made by you or your organization based on Service outputs.

17. Termination

You may stop using ReferralReview at any time.

We may suspend or terminate access when reasonably necessary because of:

• Violation of these Terms.
• Security concerns.
• Abuse or misuse of the Service.
• Legal requirements.
• Discontinuation of the Service.

Sections that by their nature should continue after termination, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive termination.

18. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-law rules, together with applicable federal law of the United States.

Any dispute relating to these Terms or ReferralReview will be brought in the appropriate courts located in New Jersey, unless applicable law requires otherwise.
